Membership in the Talisker Club includes world-class amenities, outdoor pursuits, exclusive Member activities and private events. Amenities include direct ski access to Deer Valley Resort’s coveted slopes, Talisker Golf at Tuhaye featuring a Mark O’Meara-designed 18-hole golf course with the future addition of another planned 18-hole course, White Saddle, designed by Tom Fazio, and the Mustang, a nine-hole par-3 course. Exclusive Club facilities feature state-of-the-art fitness facilities and spa services, private ski-in/ski-out mountain dining, a children’s clubhouse and activity centers.
Talisker Mountain, Inc. owns and operates the Club facilities. Behind this extraordinary vision is the Talisker organization, a real estate development enterprise with more than 25 years of experience creating resorts, residential communities and commercial facilities in the United States, Europe and Canada.
Members, their families and guests will enjoy the following exceptional Club amenities: TUHAYE FACILITIES: * Championship Golf: Talisker Golf at Tuhaye, a par-72 18-hole golf course designed by Masters and British Open champion Mark O’Meara, was recently recognized as one of “America’s best top 10 new private golf courses” for 2006 by Golf Digest. An additional 18-hole course designed by Tom Fazio is planned along with the Mustang, a nine-hole par-3 course, and a learning center with programs designed for beginners and children. State-of-the-art practice facilities including a driving range with target greens, a short-game area with practice bunkers, and putting and chipping greens. The second planned 18-hole golf facilities will be developed when the number of Members with golf privileges exceeds 445. The Tuhaye golf course and practice facilities are completed and available for use by Members and their guests who have golf privileges. Construction of the Mustang will begin in the summer following the date the 250th platted lot at Tuhaye is sold and closed. * Talisker Fitness, Spa & Tuhaye Table Cafe: A cutting-edge facility featuring the finest cardio equipment, treatment rooms, specialized fitness classes such as spinning, yoga and Pilates, and a professional staff to help you realize your personal fitness goals. The Tuhaye Table Cafe is designed to be a dynamic indoor/outdoor grill and gathering place serving cuisine for the active family. Scheduled for completion: Summer of 2007. * Creative Playground: Dedicated to children and playtime, the outdoor playground features slides, a jungle gym, basketball court and sand volleyball. Scheduled for completion: Summer of 2007. * Family Swimming Pool: A large family-friendly pool with a 100-foot long waterslide is located adjacent to the fitness and spa, Member Services Cabin and Wildstar Rangers Cabin. Scheduled for completion: Summer of 2007. * Adult Pool: Amid the activities of Talisker Club Park lies an adult oasis dedicated to relaxation or exercise. Scheduled for completion: Fall of 2007. * Tennis Center: Featuring clay courts and tennis program. Scheduled to begin construction: In the summer following the date the 250th platted lot at Tuhaye is sold and closed. * Talisker Terrace: A Members’ gathering place with breathtaking views that begin with the fairways of Talisker Golf at Tuhaye and end with majestic Mount Timpanogos and Deer Valley Resort ski runs. Scheduled for completion: Summer of 2007. * Silver Moon: An indoor/outdoor fine dining experience with breathtaking panoramic views of the golf course and mountain peaks. Construction will begin in the summer following the sale and closing of the 250th platted lot at Tuhaye and is planned for completion 24 months thereafter. * Talisker Golf Clubhouse: A luxurious golf experience including men’s and women’s locker rooms with custom-designed Member lockers, lounge areas, steam rooms, a snack bar, full-service pro shop and golf bag storage. Construction will begin the summer following the date the 250th platted lot at Tuhaye is sold and closed. MOUNTAIN FACILITIES: * Talisker Station: This ski-in/ski-out clubhouse is to be built near the Jordanelle Express Gondola at Deer Valley Resort. The clubhouse will include a members’ lounge, ski storage and ski equipment lockers. Parking also will be available. Construction is planned to commence immediately following government approvals, which are anticipated within the next year, and subject to weather restraints. In the interim, shuttle service for Tuhaye residents will be provided daily during the winter ski season between Tuhaye and Talisker Tower. Following the opening of Talisker Station, shuttle service (if offered) will run between Tuhaye and Talisker Station. * Talisker Outpost: Located adjacent to the Deer Valley Resort on a portion of Talisker property known as Bonanza, this scenic location will provide a place for Members to gather when participating in backcountry activities such as horseback riding, hiking and biking. The permanent Outpost facility is subject to the issuance of certain permits and is scheduled for construction within 12 months following receipt of those permits. In the meantime, the temporary Outpost will be available for use beginning Summer 2007. * Talisker Tower: Located in the Village at Empire Pass, this ski-in/ski-out clubhouse includes a Members’ lounge and bar, catering kitchen, Wildstar Rangers camp for kids, fitness facility, locker rooms, hot tubs and heated pool. Phase I of Talisker Tower is complete. * On-Mountain Restaurant: A private ski-in/ski-out day clubhouse for Members and their accompanied guests during the winter season when the ski lifts are operated. This dining venue will be an intimate setting welcoming Members to a continental breakfast, a quick bite between ski runs, or a more formal lunch featuring an array of culinary delights. Scheduled for completion: 2009. ADDITIONAL AMENITIES & SERVICES: * Boating: A Club-owned championship ski boat offers seating for up to eight passengers, with crew and activities such as water skiing, wakeboarding, wake surfing, tubing and water tours on the waters of the Jordanelle. * Fly Fishing: An exciting experience on the Weber River at the nationally acclaimed Thousand Peaks Ranch, where members can enjoy seven and a half miles of private waters, with a private anglers cabin, clinics and professional fishing guides. Along this private stretch of river, members can expect to fish for brown trout, rainbow trout, cutthroats, cutbows, arctic grayling, mountain whitefish and even brook trout in the upper section. The Weber is easily wadable and provides some of the best dry-fly fishing in the area. Located within 30 minutes of Park City and less than 20 minutes from Tuhaye, Thousand Peaks is Utah’s largest mountain ranch boasting more than 60,000 acres of pristine Utah backcountry stretching all the way to Montana and reaching elevations of 11,000 feet. * Wildstar Rangers Children’s Programs: Educational and numerous fun activities for children and teens led by Talisker Club’s professional staff. * Member Services: Experiences are made hassle-free thanks to our Member Services program. Allow us to schedule a wide variety of activities shown in the Talisker Club’s calendar of events and activities. * Horseback Riding: Enjoy casual trail rides through the spectacular Utah backcountry or take part in learn-to-ride programs led by professional wranglers. * Educational Seminars: Participate in programs designed for adults and children such as outdoor photography, culinary classes, wine tasting, bird watching, art classes as well as mind, body and spirit wellness.
At this time, Club Membership can only be obtained by purchasing real estate in a participating Talisker community.
All memberships in the Club are by invitation, application and acceptance, subject to the availability of memberships. Club membership will be offered to purchasers of residences or homesites in participating communities developed by Talisker as well as to certain other persons as determined by Talisker Club from time to time.
The total number of Members entitled to use any particular Club facility will initially be limited to 1,350. The number of active dues-paying Members with golf privileges will be limited to 445 for each regulation 18 holes of golf. These membership limits are subject to adjustments as described in the Talisker Club Membership Plan.
Each membership in the Club entitles the member and their immediate family full use of the Club facilities and amenities. Immediate family is defined as the Member’s spouse and their children under the age of 25.
Extended family includes parents, grandchildren and children, ages 25 and over, and their spouses. Extended family will have access to certain Club facilities and amenities for a reduced guest fee, subject to the rules and regulations of the Club.
Members are entitled to have guests use the Club facilities, subject to the rules and regulations established by the Club from time to time. Some of the Club facilities may not allow unaccompanied guests. Guest access to certain facilities may be limited or eliminated during peak times as the number of Members increases.
Guests residing in a Member’s Empire Pass property who are not accompanied by a Member may use the Talisker Tower fitness facilities only, classified as unaccompanied guests and subject to the payment of daily access guest fees. The Club reserves the right, at any time, to limit the number of unaccompanied guests allowed to use Talisker Tower fitness facilities, to limit the times of access or to discontinue use of any facilities by unaccompanied guests. Unaccompanied guest arrangements must be made by the sponsoring Member and associated guests fees will be charged to the Member’s account.
Currently, Club policies require property ownership in a participating Talisker community.
Members who own property in a participating Talisker community can transfer or sell their property at any time, and the purchaser of the Member’s property will then have the right to apply for the applicable membership. Upon the transfer or sale of the property, the Member must surrender the membership to the Club, and the Club will reissue the membership to the new property owner upon acceptance of the membership application. The new property owner must submit an application for membership, be approved for membership by the Club, and pay the required membership deposit. The new property owner will not, however, have the automatic right to apply for membership if the prior Member has not maintained an active membership by paying dues and otherwise complying with Club requirements.
A portion of the membership deposit will be refunded as shown on the approved applications: a) After the transfer or sale of the Member’s property, provided the Member has actively maintained their membership and paid dues, and if the membership is then activated by the new owner. b) If the membership is not activated by the new property owner, the membership will be placed on the Resigned Members’ Wait List to be reissued on a first-resigned/first-reissued basis, subject to the Resigned Members’ Wait List terms set in the Membership Plan. c) At the end of the thirty (30) year period from the date of membership issuance. d) Upon the death of a Member if the surviving spouse does not wish to continue the membership. e) Within thirty (30) days of termination or recall of a membership by the Talisker Club.
In the event two or more persons (other than spouses or dependents) own property in a participating Talisker community, only one owner is eligible to apply for Club membership. However, until the membership of the Club has reached full capacity in accordance with applicable limits, Talisker Club may, in its discretion, allow one or more of the other property owners to become a Member subject to the condition that each additional membership may be recalled at any time on a last-in/first-out basis. Each additional membership is also subject to payment of the required membership deposit and annual Club dues.
A purchaser of a new property located in a participating Talisker community who has executed a non-contingent contract for the purchase of the property but has not closed such purchase, can become a Provisional Member by submitting a fully completed application to the Club and by payment of the applicable re-issuance fee as determined from time to time, along with any applicable pro-rated Club dues. Provisional Members are subject to annual dues and any Club charges, taxes and fees. If a Provisional Member fails to close on the purchase of the property on the date specified in the purchase contract, the Talisker Club will have the right at any time thereafter to recall the Provisional Membership and will retain any applicable re-issuance fee and any Club dues that have been paid.
Memberships are not transferable except under limited circumstances as may be provided in the Talisker Club Membership Plan documents.
The Membership deposit funds the construction and acquisition of Club facilities and amenities. Dues fund costs associated with operating and managing the Club’s facilities and amenities. The cost of some Club activities may not be included in the dues and will be made available on a “fee for use” basis.
Commencing on the date that all of the Club facilities listed in the Membership Plan have been completed and are ready for use by Members of the Club, annual increases in dues will be limited to the greater of the following: a) Eight percent (8%) per annum of the annual dues; or b) The annual percentage increase reflected in the most recently-published Consumer Price Index (as defined in the Membership Plan) applied against the prior year’s dues. c) Dues may be increased in any year by a greater amount as determined by a qualified, independent third party chosen by Talisker Club in the event the Talisker Club determines that the increase that would result from the application of the provisions of (a) or (b) above would be inadequate to meet the expenses and objectives of the Club. The qualified, independent third party will make such determination based on the projected total Club operating costs, depreciation, reserves and payment of a management fee within the range of management fees then being paid for the quality management of equivalent properties with equivalent facilities, membership and operations.
The Club currently offers two types of memberships associated with property ownership: the Limited Membership and the Talisker Club Membership. Certain properties designated by the Club do not qualify for Limited Access Memberships. The Talisker Club may also issue special categories of memberships, known as “Honorary,” “Provisional,” “Interval” and “Executive” Memberships.
Hotel guests are defined as guests staying in one or more participating hotels or similar lodging facilities located in a designated Talisker community. Upon commencement of construction of the second 18-hole golf course, and until there are: a) 390 active dues-paying Members with golf privileges, or b) the second golf course has been completed and is opened for play, Talisker Club may allow hotel guests to reserve up to 25% of the annual tee times on Talisker Golf at Tuhaye. In the event the second course is built, hotel guests’ tee times would only be available on the second course .
To avoid a variety of problems associated with private golf cart usage, property owners will not be allowed to use their own golf carts.
Members are required to pay their membership deposits, dues, fees, taxes, service charges and other charges the Club may establish from time to time. Members will not be subject to any operating or capital assessments, prior to, if ever, a conversion of the Talisker Club’s ownership to a member-owned club.
At any time in the first ten (10) years following the official opening of Talisker Golf at Tuhaye, provided there are at least three hundred (300) active dues-paying Members with golf privileges, Talisker Mountain, Inc. has the option to call for a vote of the Members who are the holders of such memberships as to whether they desire to convert ownership of the Club to a member-owned club. In the event Talisker Mountain, Inc. exercises this option, approval of the exercise of that option requires an affirmative vote in favor of conversion by more than 50.01% of the Members. The active Members of the Club would then each be required to make an equity membership contribution of $10,000 to the company.
In the event the Club has not previously been converted to a Member-owned Club, then after the date which is ten (10) years following the date of the official opening of Talisker Golf at Tuhaye for use by Members, Talisker Mountain, Inc. may provide notice to the Members of its intent to transfer ownership of the existing club facilities to the Members and may exercise its right to do so.
While no such reciprocity exists currently, the Club retains the right to enter into reciprocal use agreements with other Club facilities which are of comparable quality and service levels.
In the event the Club facilities are sold, the purchaser of the Club will be required to acquire title to the Club facilities, subject to existing memberships and the terms and conditions of the Membership Plan in force at that time.
The Club is committed to providing the types of services, programs, activities and events that the membership finds beneficial. An Advisory Board of Governors comprised of Members of the Club will be formed and will enable Members to provide input on any matters that are of concern or interest.
